THIS ADVERTISING AGREEMENT ("Agreement") is made and entered into as of [Date] ("Effective Date") by and between:

The Nebraska Lawyers Foundation , a nonprofit organization incorporated under the laws of Nebraska, with its principal office at the address above ("Publisher"), and

[Advertiser Name], a [Advertiser Legal Structure, e.g., corporation, LLC] with its principal office at [Advertiser Address] ("Advertiser").

1. Purpose

Publisher agrees to provide advertising services on its website(s) and digital platforms (the "Platform") to promote Advertiser’s products, services, or brand.

2. Advertising Content

2.1 Content Submission : Advertiser shall provide all advertising materials (text, images, links, etc.) to Publisher by [Deadline].
2.2 Compliance : Advertiser guarantees that all content complies with Microsoft Advertising Policies, FTC guidelines, and applicable laws, including but not limited to prohibitions on deceptive claims, copyright infringement, or unauthorized data collection.
2.3 Prohibited Content : Publisher reserves the right to reject or remove ads that:

• Violate Microsoft Ads policies (e.g., adult content, malware, misleading claims).
• Discriminate based on protected characteristics.
• Infringe intellectual property rights.

3. Term & Termination

3.1 Term : This Agreement begins on the Effective Date and continues until [End Date] unless terminated earlier.
3.2 Termination for Cause : Either party may terminate this Agreement immediately if the other party breaches a material term.
3.3 Effect of Termination : Upon termination, Publisher shall cease displaying Advertiser’s content, and Advertiser shall pay all unpaid fees for services rendered.

4. Fees & Payment

4.1 Payment Terms : Advertiser agrees to pay Publisher [Amount] via [Payment Method] within [Number] days of invoice.
4.2 Taxes : Advertiser is responsible for all applicable taxes.

5. Representations & Warranties

5.1 Advertiser Warranties : Advertiser represents that:

• It owns or has rights to use all content provided.
• Ads will not harm Publisher’s reputation or violate third-party rights.
  5.2 Publisher Warranties : Publisher will use reasonable efforts to display ads as agreed but does not guarantee specific results.

6. Indemnification

Advertiser agrees to indemnify and hold harmless Publisher from any claims, damages, or losses arising from Advertiser’s breach of this Agreement or illegal content.

7. Confidentiality

Both parties agree to keep confidential all non-public information disclosed under this Agreement.

8. Miscellaneous

8.1 Governing Law : This Agreement is governed by Nebraska law.
8.2 Amendments : Modifications must be in writing and signed by both parties.
8.3 Entire Agreement : This Agreement supersedes all prior agreements.
